Customer Area Terms
The rules of your WiseExit area, for sellers and for buyers. You accept them the first time you sign in.

1. About these terms
These terms apply to the WiseExit customer area (the "area") on wise-exit.com, operated by [company name: not configured] ("WiseExit", "we"). They add to our Terms of Service and to any written agreement you have with us; if they conflict, your signed agreement (for sellers, the mandate) prevails. How we handle your data is explained in our Privacy Policy.
2. Your account
- The area is for business owners and investors aged 18 or over. You get an account when our team invites you or when you register as a buyer and confirm your email.
- There are no passwords: you sign in with a single-use code or link that we email to you. Keep access to your mailbox secure and don't share codes or links; anyone with access to your email can enter your area.
- One account is for one person. If you act for a company, you confirm that you are authorised to do so.
- Tell us at once if you think someone else has used your account. We may suspend an account to protect you, the sellers or the buyers.
3. Confidentiality
Everything you see in the area about a business, a seller or a buyer is confidential. Use it only to evaluate or carry out the transaction it relates to, and don't share it except as your NDA or your mandate allows. Don't try to identify a seller or a buyer from anonymised information.
4. For buyers: listings, NDA and data room
- Listings are anonymised summaries based on information from the sellers. Figures are ranges, not audited by us, and a listing is not an offer.
- To see a listing's name, dossier and data room you must sign our NDA online. Signing is electronic: it has the same effect as a handwritten signature, and we keep a record of the text, version, date and time, IP address and browser. A copy stays in your area.
- After you sign, our team decides whether to grant access, and may refuse or revoke it at any time, for example when a seller asks to limit the number of buyers or when your criteria don't match.
- Documents in the data room open through short-lived links, and every opening is recorded and may be shared with the seller in anonymised form. Don't download, copy or forward more than you need for your evaluation.
- Don't contact the seller, the business's employees, suppliers or customers directly, and don't try to complete a transaction without WiseExit, as set out in your NDA.
- Do your own due diligence and rely on your own advisors. We may ask for proof of funds before a call or an offer.
5. For sellers: your exit, documents and offers
- The area shows the status of your exit, the documents we share with you and those we ask you to upload or sign, anonymised buyer interest and the offers we receive. What it shows (for example the valuation) is decided by our team and may change.
- You confirm that the documents and information you upload are accurate to the best of your knowledge and that you have the right to share them with us and, under NDA, with buyers.
- Accepting or declining an offer, or asking for a call, in the area tells our team what you want to do. It is not a binding acceptance: a sale becomes binding only through a written agreement signed by the parties.
- Buyer interest is shown in anonymised form. Counts of openings and calls are indicative.
6. Messages and email notifications
Messages in the area reach our team; we usually reply within one business day, but the area is not monitored around the clock. For anything urgent, also write to [contact email: not configured]. We email you about new codes, important changes to your exit or deals and, if you keep the option on, new messages and documents. You can turn off notification emails in your profile; sign-in emails are always sent.
7. No advice, no guarantee
Nothing in the area is investment, legal, tax or accounting advice. We don't guarantee that a business will be sold or bought, at what price or by when. See our Disclaimer.
8. Acceptable use
Don't upload unlawful content, malware or files you have no right to share; don't use the area to send spam; don't use automated means to access it; don't interfere with its security. We may remove content and suspend accounts that break these terms.
9. Availability and changes
We work to keep the area available and secure, but it may be unavailable at times or contain errors. We may change these terms: when the change matters, we ask you to accept the new version the next time you sign in. The version you accepted is recorded in your account.
10. Closing your account
You can ask us to close your account at any time by writing to [contact email: not configured]. We may close inactive accounts or accounts whose mandate or buyer relationship has ended. Your NDA obligations continue after your account is closed, and we keep the records described in our Privacy Policy.
11. Liability and law
To the extent permitted by law, we are not liable for indirect or consequential losses arising from the use of the area. Nothing limits liability that cannot be limited by law. These terms are governed by [GOVERNING LAW: to be confirmed by counsel], and the courts of [PLACE: to be confirmed by counsel] have jurisdiction, without depriving you of mandatory protections of the law of your country.
